Terms of Use

Last updated 27 October 2026

These terms are the agreement between you and [Gumboots Limited], a company registered in [New Zealand] (“Gumboots”, “we”), for the use of the Gumboots service. By creating an account or using Gumboots you agree to them on behalf of the business you represent. If you do not have authority to bind that business, do not use Gumboots.

Gumboots is sold to businesses, not consumers. You confirm you are acquiring it for the purposes of a business, and to the extent the law allows, consumer protection legislation does not apply to this agreement.

What Gumboots is

Gumboots connects to your commerce and accounting systems, such as Shopify and Xero or QuickBooks, builds a financial model of your business from that data, and uses the model to forecast, to identify risks and opportunities, to make recommendations and, where you switch it on, to carry out operational actions within limits you set, such as drafting and sending purchase orders. Features vary by plan and are described on our pricing page.

Your account

You are responsible for everything done through your account and for keeping sign-in details confidential. Tell us at once if you believe an account has been compromised. Each person using Gumboots for your business must have their own sign-in; do not share one.

You must give us accurate details about your business and keep them current. We may refuse or close an account that we reasonably believe is being used in breach of these terms.

Trial, subscription and payment

Trial. New accounts get a free trial of thirty days with no payment details required. At the end of the trial your access continues only if you subscribe.

Subscription. Gumboots is sold as an annual subscription at the plan and price you select when subscribing. Payment is taken through Stripe. Subscriptions renew automatically for a further year unless you cancel before the renewal date. We will tell you by email at least thirty days before a renewal if the price is changing.

Changes of plan. You can move between plans at any time. Moving up takes effect immediately and is charged pro rata; moving down takes effect at the next renewal.

Cancellation and refunds. You can cancel at any time from Settings or by emailing us. Cancellation stops the next renewal. Fees already paid are not refunded for the remainder of the current period, except where these terms or the law say otherwise.

Late payment. If a payment fails we will let you know and retry. If it remains unpaid after fourteen days we may suspend access until it is settled.

Prices exclude GST and other taxes unless stated. You are responsible for any taxes that apply to your purchase.

Your data

You own it. The data you connect to Gumboots or enter into it, and the model and reports built from it, are yours. You grant us the right to store, process and display that data solely to provide Gumboots to you, to keep it secure, and to improve the service in ways that do not disclose your data to anyone else.

You are responsible for it. You confirm you have the right to connect each system you connect, and that your collection of the data in those systems, including data about your own customers, complies with the law and with the terms of Shopify, Xero, Intuit (QuickBooks), Google and any other provider. We process that data on your instructions as described in our privacy policy, which forms part of these terms.

Getting it back. You can ask for a copy of your data at any time while your account is active and for thirty days after it closes. After that it is deleted as the privacy policy describes.

Forecasts, recommendations and AI

Gumboots produces models, forecasts, alerts and recommendations. Some are generated with the help of artificial intelligence. They are estimates built from the data you connect and the assumptions you set, and they will sometimes be wrong: source data can be incomplete, assumptions can be out of date, and the future does not always follow the past.

Gumboots is not financial, accounting, tax, legal or investment advice and we are not your accountant or adviser. You remain responsible for every decision you make and for checking anything you rely on, including figures you report to tax authorities, lenders or investors. Where the stakes are significant, have a qualified professional review them.

Actions Gumboots takes for you

Where you turn on features that act on your behalf, such as preparing and sending a purchase order to a supplier, Gumboots does so only within the rules and limits you have configured, and you can review and stop them at any time. Those actions are yours: any order placed, message sent or commitment made is between you and the other party, and you are responsible for it as if you had done it by hand. We are not a party to your contracts with suppliers or customers.

You should check the limits you set and the actions taken regularly. We are not responsible for the consequences of a limit that was set too loosely or of an action that correctly followed a rule you configured.

Acceptable use

You agree not to:

  • use Gumboots for anything unlawful, or connect data you have no right to use
  • resell, sublicense or provide Gumboots to anyone outside your business
  • copy, modify, reverse engineer or attempt to extract the source of the software
  • probe, overload or interfere with the service, or bypass its access controls
  • use automated means to extract data from Gumboots other than the exports we provide

Intellectual property

Gumboots, its software, design, models, methods and documentation are owned by us or our licensors and are protected by intellectual property law. You get a right to use them under these terms and nothing more. Your data remains yours, as set out above. If you give us suggestions or feedback we may use them without obligation to you.

Third-party services

Gumboots depends on services we do not control: Shopify, Xero, Intuit (QuickBooks), Google, Stripe, our hosting and AI providers. Their availability and terms are theirs. If a provider changes or withdraws an interface we will do what we reasonably can to adapt, but we are not responsible for interruptions or data problems that originate with them.

Availability and changes

We aim to keep Gumboots available at all times but do not guarantee it. There will be maintenance and occasional faults. We may change or add features at any time. If we remove a feature that is material to your plan, we will give you at least thirty days’ notice, and if you cancel because of it we will refund the unused part of your current period.

Warranties and liability

Except as expressly stated in these terms, Gumboots is provided as is, and we make no other warranties, including as to accuracy, fitness for a particular purpose or uninterrupted operation.

To the fullest extent the law allows, we are not liable for indirect or consequential loss, loss of profit, revenue, goodwill or data, or for any decision you make in reliance on Gumboots’s output. Our total liability to you under or in connection with this agreement in any twelve-month period is limited to the fees you paid us in that period.

Nothing in these terms excludes liability that cannot be excluded by law, including for fraud or for death or personal injury caused by negligence.

You will compensate us for losses we suffer because of your breach of these terms, your unlawful use of Gumboots, or a claim that data you connected was collected or used in breach of the law or of a third party’s rights.

Ending the agreement

You can close your account at any time. We can suspend or end your access if you materially breach these terms and do not fix the breach within fourteen days of our telling you, if a payment remains outstanding as described above, or if we stop offering Gumboots, in which case we will give at least sixty days’ notice and refund any unused prepaid fees.

When the agreement ends, your right to use Gumboots stops, you can request your data for thirty days, and then we delete it as the privacy policy describes. Provisions that by their nature should survive, including those on liability, intellectual property and your data, do so.

General

These terms are governed by the law of [New Zealand] and its courts have jurisdiction, though we will try to resolve any dispute with you directly first. If part of these terms is found unenforceable, the rest stands. Our failure to enforce a term is not a waiver of it. You may not transfer this agreement without our consent; we may transfer it to a successor of our business. These terms, the privacy policy and your plan selection are the whole agreement between us.

We may change these terms at any time by publishing an updated version on this page, and the date at the top shows when they last changed. By agreeing to these terms you agree to them as updated from time to time. For changes that reduce your rights or increase your obligations we will email account holders at least thirty days before they take effect; continuing to use Gumboots after that date is acceptance. Other changes take effect when published here.
